CLAIMS:Within 90 days after the arrival of the goods at destination, should the quality, specification, or quantity be found in unconformity with the stipulations of the Contract except those claims for which the insurance company or not the owners of the vessel are liable, the Buyers shall, on the strength of the Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. or the site inspection report issued by the seller’s engineer, have the right to claim for replacement with new goods, or for compensation, and all expenses (such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges etc.) shall be borne by the Sellers. As regards quality, the Sellers shall guarantee that if within 12 months from the date of signing the acceptance report of this machine, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. .The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyers' claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s), . FORCE MAJEURE:The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.不可抗力：对于制造或装船运输过程中可能产生的不可抗力而造成的迟交货或不能交货，卖方可以不承担责任。卖方应立即在不可抗力产生的十四日内将有关情况通知买方，并且卖方应用航空邮件将有关政府*部门出具的证明不可抗力产生的文件寄送给买方。在此情况下，卖方仍应尽努力采取各种措施促使货物的发运。如果事故持续十周，买方有权取消该合同。16. LATE DELIVERY AND PENALTY:Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days. Odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.迟交货和罚金：如果卖方未能按合同规定及时交货(除了本合同15条款所言的不可抗力)，买方同意在卖方付罚金的前提下迟交货。罚金的金额不超过迟交货的合同货物部分的价值的5%，罚金按每7日0.5%计算，少于7日的增加天数按7日计。如果卖方未能于合同规定的交货期之后的十周内发运，买方有权取消该合同，除此之外，卖方仍要将有关罚金不加拖延地付给买方。17. ARBITRATION:Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both partied. 第一条、双方关系：在本协议的有效期内，甲方和______公司的关系纯属卖方和买方的关系。本协议不产生代理权，任何一方不能向第三者代表另一方，若由此而致使另一方受损，则越权的一方须承担赔偿责任和法律责任。

第八条、经销商责任
1.自费维持一个有经营能力的机构，切实地为甲方推销产品。
2.自费参加一些交易会或制作为了推销甲方产品的网站、目录等广告物。
3.在本协议的有效时限内，第一年的每个月的交易额必须达到万元，以后每年递增20％
4.向甲方提供一个由甲方认可的银行为结算银行。
5.不得购买和销售其他公司的同类产品
6.不断地向甲方提供国内相关的商业情报
第九条、有效时限本协议自_____生效，有效期为___年。期满前三个月内，双方如未能在续签本协议上达成一致，则本协议在期满时自动失效，双方再不受其约束。

第十一条、一般条款
1.不可抗力：本协议的任何一方如遭遇到所力不能及的事由，以致全部或部份无法履行本协议，则可在下列范围内免除其责任。如：火灾、水灾、海啸、地震、雷击、台风、旋风、疫病、爆炸、机械事故、战争、暴乱、制裁、劳工纠纷或政府的政策性行为，或其它的确实非人力所能抗拒的原因。但一方必须将得到政府或有关机构证明的不可抗力原因的书面通知，以最快的速度送达另一方并直到另一方确认收到该通知时为止。
2.转让：本协议在任何一方在未征得另一方以书面的方式明确表示同意之前，任何涉及本协议所规定的权利和义务的转让均属无效。
3.商业机密本协议的任何一方均不得在有效期内及期满的一年内向第三者泄漏双方之间的商业秘密，若由此而造成另一方的利益损失，则另一方有追索泄漏商业秘密一方的经济责任的权利。
4.仲裁凡因本协议或其相关的事情而导致争执时，双方应当友好协商解决，解决不成，应提请中国贸易促进委员会进行仲裁，该仲裁是终局的，双方由于进行仲裁而发生的合理费用均由败诉方负担。

1.对具有本市劳动手册和符合市规定的员工，甲方按市规定的基本标准为其缴纳三金（养老金、医疗保险金及失业金）对原先无工作单位的外省籍员工购买社会综合保险，同时办理员工团体意外人身保险，不另报销医疗费用。
2.法定假日为有薪假期。
第六条协议的变更、终止、解除、续订
1.有下列情形之一的，甲、乙双方可以变更本协议：
（1）甲方因机构变化，原岗位撤消，无适合岗位安排，甲方应提前30天通知终止合同；
（2）本合同订立后，所依据的法律、法规、规章及政策已修改；
（3）因不可抗力致使本协议无法履行；
（4）法律、法规规定的其他情况。
2.合同期满，双方办理终止合同手续（违约责任详见本合同第七条规定）甲方因工作需要，在征得乙方同意的前提下，双方可以续订合同。
3.乙方有下列情形之一，甲方可以解除合同或予以除名：
（1）被证明不符合录用条件或试用期间不合格者；
（2）严重违反劳动纪律或甲方规章制度，经教育屡不悔改者；
（3）严重失职、营私舞弊，对甲方利益造成重大损害者；
（4）已被依法追究刑事责任者。
4.合同期内有下列情形之一的，甲方可以解除合同，但应提前三十天以书面形式通知乙方。
（1）乙方因疾病，合同期内，不能从事原工作，也不能从事由甲方另行安排的工作；
（2）合同订立时，所依据的客观情况发生重大变化，原合同无法履行，经双方协商无法解决的。
5.乙方主动解除合同，应提前三十天以书面形式通知甲方，但在合同期内，甲方为乙方支付的各种专项培训费用，乙方应当归还甲方，乙方赔偿甲方违约金____元。
6.有下列情形之一的，乙方可以随时通知甲方解除本合同：
（1）甲方以暴力、威胁或者非法限制人身自由的手段强迫工作；
（2）甲方如未能按照合同约定支付劳动报酬。
第七条违约责任
1.任何单方违反本协议规定，给对方造成经济损失或其他损失的，应当根据其后果大小和责任大小，支付违约金和赔偿金。
2.经甲方同意辞聘但未按规定按时交清公务与债权、债务手续的，甲方有权扣押毕业证（职称证书）和扣发当月工资，乙方应承担相应的经济损失。
3.甲方出资培训的员工在合同期或规定的服务期内离（辞）职的，按规定向甲方支付培训费。
4.甲方资助乙方买房款的员工在规定的合同期或服务期内离（辞）职的，乙方须归还所有款项。
5.工作需要向甲方领取的服装、工具及其他贵重物品在合同期满或离（辞）职时须交还甲方，在使用年限内的应按甲方规定承担相应的折旧费。
6.因乙方的工作性质，双方约定在合同期满或离（辞）职后的年内，不得以任何形式从事同行业或同专业的工作，否则应向甲方赔偿相应的损失。
7.对于公司技术和非技术信息，资金、财务和经营数据；商业计划、市场分析、未公布住处和市场预测、知识产权、商业秘密和专有技术；公司人事和客户资源、政府接触等；技术信息——设计方案、技术诀窍、技术数据和工艺流程等保密信息乙方有义务保守，因任何原因泄漏，公司就情节轻重给予教育、警告、降级、降薪直至除名的处罚。造成经济损失或其它严重后果的，甲方保留追究乙方法律责任和要求赔偿经济损失的权力。
第八条未尽事宜
本协议未尽事宜，按现行国家和本市的法律、法规政策执行。
第九条协议生效
