RECITALS

WHEREAS, Seller is the owner of the property of 14D, Building 3, Park ViewTower; Seller desires to sell to Buyer, and Buyer desires to acquire fromSeller, the entire ownership of the property and its associated granted land useright (the “Property”, as defined more specifically in Article 2 of this SaleContract);

NOW, THEREFORE, after friendly negotiations and in consideration of theProperty and the mutual covenants contained herein, the Parties hereby agree asfollows:

Article I Representations, Warranties and Covenants

1.1 Seller hereby represents and warrants that Seller is the duly registeredowner of the Property and possesses the complete beneficiary ownership rights tothe Property. The Property is free from any encumbrance, including but notlimited to mortgages and any other third party‘s interest and/or other debtdisputes.

1.2 Seller shall transfer the Property and its title deeds to Buyer inaccordance with the terms of this Contract.

Article II The Property

Article IV Payment Method and Title Transfer Procedure

1.1 Any payment of the Purchase Price under this Contract shall be made inRMB by Buyer in accordance with this Contract. Any bank fees or charges incurreddue to the payment should be borne by Buyer; any bank fees or charges incurreddue to the receipt of the payment imposed by the Seller‘s Bank should be borneby Seller. 1.2 Both Seller and Buyer appoint and fully authorize XXXX Law Firm (the“Lawyer”) to apply for the transfer of the title deeds of the Property and payrelevant taxes and fees and to take any other action and sign any documentnecessary to complete the above transfers promptly.

1.3 Within three (3) working days after the execution of this Contract, Buyershall pay to Seller, as an advance payment, fifty percent (50%) of the PurchasePrice, i.e. RMB ____________ (the “Advance Payment”)

1.4 Buyer shall pay, as the remaining payment, the other fifty percent (50%)of the Purchase Price, i.e. RMB ___________ (the “Remaining Payment”), byapplying for the second hand property mortgage loan from the Bank (the “Bank”)The Bank sould directly pay all mortgage loan to Seller‘s bank account asdescribed above.

1.4.1 Within ten (10) working days after the execution of this Contract,Buyer shall sign the mortgage loan agreement and other relevant documents withthe Bank, and get approval from the bank with respect to the mortgage loanapplication for the Remaining Payment. Buyer shall hand over the photocopies ofthe above-mentioned documents to the Lawyer.

1.4.2 Within ten (10) working days after the execution of this Contract, bothParties and the Bank shall sign a tri-party agreement (the “Tri-partyAgreement”) in which the Bank agrees to release the loan (equivalent to theRemaining Payment) to Seller‘s account directly. Buyer shall hand over thephotocopy of the Tri-party Agreement to the Lawyer.

1.4.3 After Seller confirms the receipt of the Advance Payment, and uponreceipt by the Lawyer of all of the documents and taxes and fees from bothParties as described in Article 6 and Article 7 of this Contract, and withinthree (3) working days after the documents mentioned in Article 4.4 above areprovided to the Lawyer, Lawyer shall submit the transfer application (with allnecessary supporting documents) of the Property Ownership Certificate to BeijingConstruction Committee Real Estate Exchange Center (the “Center”) Within three(3) working days after the transfer of the Property Ownership Certificate iscompleted, Lawyer shall submit the transfer application (with all necessarysupporting documents) of the Land Use Right Certificate to Beijing Land &Resource Bureau.

1.4.4 After the Property Ownership Certificate and the Land Use RightCertificate are transferred to Buyer, and after Lawyer receives all the originalcertificates, Lawyer shall provide to the Bank with these certificates inaccordance with the terms of the Tri-party Agreement. The bank, who will applyfor the mortgage registration of the Property, shall release the loan (RemainingPayment) directly to Seller once the mortgage registration is completed.

1.4.5 In case that the Bank has not approved the drawdown of the loan or theloan paid to Seller is less than the Remaining Payment within two (2) monthsafter Lawyer provides the Property Ownership Certificate and the Land Use RightCertificate to the Bank, Buyer agrees to make full payment of the RemainingPayment within five (5) working days after the above-mentioned two (2) monthsperiod expires.

Article V Taxes and fees

Except as otherwise provided therein, each Party shall be responsible for andshall pay all taxes and fees resulting from or payable in connection with thetransactions contemplated in this Contract as are imposed upon such Party by PRCLaw.

第十一条 装运条件

(1)卖方必须在装运前四十天向买方通知预订的船名及其运输路线,供买方确认。

(2)卖方必须在装运前二十天通知买方预计发货时间,合同号,发票金额,发运件数及每件的重量和尺码。

(3)卖方必须在装船完毕后四十八小时内,以电报/电传方式向买方通知货物名称、数量、毛重,发票金额,船名和启运日期。

(4)如果任一单件货物的重量达到或超过20吨,长12米,宽2.7米,高3米,卖方须在装船期前50天向买方提供5份详细包装图纸,注明详细的尺码和重量,以便买方安排内陆运输。

(5)如果由于卖方未及时按11条第(3)款执行,以致买方未能将货物及时保险而造成的一切损失,由卖方承担。

(6)在目的港卸货和内陆运输的一切费用由买方承担。

第十二条 技术文件

(1)下述全套英文本技术文件一份必须随每批货物一同包装发运:

a.基础设计图。

b.接线说明书,电路图,气/液压连接图。

c.易磨损件的制造图纸和说明书。

d.零配件目录。

e.安装、操作和维修说明书。

(2)此外,在签订合同60天内,卖方必须向买方或最终用户挂号航空邮寄本条款 ( 1)中规定的技术文件。否则,买方有权拒开信用证或拒付货款。

第十三条 保质条款

卖方必须保证所供货物系用上等材料和一流工艺制造,崭新,未曾使用,并在各方与合同规定的质量、规格和性能相一致,在货物正确安装、正常操作和维修情况下,卖方必须对合同货物的正常使用给予____天的'保证期,此保证期从货物到达____起开始计算。

第十四条 检验

(1)卖方/制造厂商必须在交货之前对货物质量、规格、性能和数量进行精确全面的检验,并签发质量证明书,证明货物符合合同规定。此证明书不作为货物质量、规格、性能和数量的最后依据。卖方或制造厂商必须将记载检验细节和结果的书面报告附在质量证明书内。

(2)在货物抵达目的地港之后,买方须申请中国商品检验局(以下称商检局)就货物质量、规格和数量进行初步检验,并签发检验证明书。如果发现到货的质量、规格和数量与合同不符,除应由保险公司或船方负责者外,买方在货物抵达目的港后____天内有权拒收货物,向卖方索赔。

(3)如果发现货物的质量和规格与合同规定不符或货物在本合同第13条所述保证期内被证明有缺陷,包括内在缺陷或使用不适当原材料,买方将安排商检局检验,并有权依据检验证书向卖方索赔。

(4)如果由于某种不能预料的原因在合同有效期内检验证书不及办妥,买方须电告卖方延长商检期____天。

第十五条 索赔

(1)如果卖方对货物与合同规定不符负有责任,且买方在本合同第13条第14条规定的检验和质量保证期之内提出索赔时,卖方在征得买方同意后,须按下列方法之一种或几种索赔:

a.同意买方退货,并将所退货物金额用合同规定的货币偿还买方,并承担因退货造成的一切直接损失和费用,包括:利息、银行费用、运费、保险费、检验费、仓储、码头装卸费以及监管保护所退货物的一切其它必要费用。

b.按照货物的质量低劣程度、损坏程度和买方蒙受损失金额将货物贬值。

c.用符合合同规定的规格质量和性能的新部件替换有瑕疵部件,并承担买方所蒙受的一切直接损失及费用。新替换部件的保质期须相应延长。

(2)若卖方在收到买方上述索赔书后一个月之内未予答复,则视为卖方接受索赔。

第十六条 不可抗力

(1)如签约双方中任何一方受不可抗力所阻,无法履约,履约期限则按照不可抗力影响履约的时间作相应延长。

(2)受阻方应在不可抗力发生和终止时尽快电告另一方,并在事故发生后14天内将主管机构出具的事故证明书挂号航空邮寄给另一方认可。

(3)如果不可抗力事故持续超过120天,另一方有权用挂号航空邮寄书面通知,通知受阻一方终止合同,通知立即生效。

第十七条 仲裁

(1)凡由于执行本合同而发生的一切争执,应通过友好协商解决。如果不能解决,则可诉诸仲裁。

(2)仲裁应提交中国北京中国国际经济贸易仲裁委员会,按照其程序仲裁。

(3)仲裁机构的裁决具有最终效力,双方必须遵照执行,仲裁费用由败诉一方承担。仲裁机构另有裁定者除外。

(4)仲裁期间,双方应继续执行除争议部分之外的合同其它条款。

第十八条 延期和罚款

如卖方不能按合同规定及时交货,除因不可抗力事故之外,若卖方同意支付延期罚款,买方应同意延期交货,罚款通过议付行在议付时扣除,但是罚款额不超过货物总值的5%,罚金率按每星期0.5%计算。不足一星期者按一星期计。如果卖方交货延期超过合同规定船期十星期,买方有权撤销合同。尽管撤销了合同,卖方仍须向买方立即支付规定罚款。

第十九条 附加条款(如果上述条款与下列附加条款不符,将以后者附加条款为准)

第十一条 装运条件

第十三条 保质条款

第十四条 检验

第十六条 不可抗力

第十七条 仲裁

由于执行本合同而发生的一切争执,应通过友好协商解决,如果不能解决,按下述第 项仲裁:

1.提交中国北京中国国际经济贸易仲裁委员会,按照其程序仲裁。

2.提交双方同意的第三国仲裁机构仲裁。

Article Five Area Confirmation and Area Discrepancy Handling

Article Seven Purchaser‘s Responsibility for Breach of Contract Due toOverdue Payment

Article Eleven Delivery

When the commercial house reaches the delivery serviceable condition, theseller should notify the purchaser to handle delivery procedures. Article Sixteen Warranty Responsibilities

For the commercial house bought for commercial residence use, the GuaranteeLetter of Residence Quality is the annex of this contract. For the commercial house bought for non-commercial residence use, bothparties should make specific stipulations on warranty scope, period andresponsibilities etc in form of contract annex.

Article Eighteen The purchaser‘s house has a sole purpose for residentialuse. RECITALS

Article IV Payment Method and Title Transfer Procedure

1.2 Both Seller and Buyer appoint and fully authorize XXXX Law Firm (the “Lawyer”) to apply for the transfer of the title deeds of the Property and pay relevant taxes and fees and to take any other action and sign any document necessary to complete the above transfers promptly.

1.3 Within three (3) working days after the execution of this Contract, Buyer shall pay to Seller, as an advance payment, fifty percent (50%) of the Purchase Price, i.e. RMB ____________ (the “Advance Payment”)

1.4 Buyer shall pay, as the remaining payment, the other fifty percent (50%) of the Purchase Price, i.e. RMB ___________ (the “Remaining Payment”), by applying for the second hand property mortgage loan from the Bank (the “Bank”) The Bank sould directly pay all mortgage loan to Seller‘s bank account as described above.

1.4.1 Within ten (10) working days after the execution of this Contract, Buyer shall sign the mortgage loan agreement and other relevant documents with the Bank, and get approval from the bank with respect to the mortgage loan application for the Remaining Payment. Buyer shall hand over the photocopies of the above-mentioned documents to the Lawyer.

1.4.2 Within ten (10) working days after the execution of this Contract, both Parties and the Bank shall sign a tri-party agreement (the “Tri-party Agreement”) in which the Bank agrees to release the loan (equivalent to the Remaining Payment) to Seller‘s account directly. Buyer shall hand over the photocopy of the Tri-party Agreement to the Lawyer.

1.4.3 After Seller confirms the receipt of the Advance Payment, and upon receipt by the Lawyer of all of the documents and taxes and fees from both Parties as described in Article 6 and Article 7 of this Contract, and within three (3) working days after the documents mentioned in Article 4.4 above are provided to the Lawyer, Lawyer shall submit the transfer application (with all necessary supporting documents) of the Property Ownership Certificate to Beijing Construction Committee Real Estate Exchange Center (the “Center”) Within three (3) working days after the transfer of the Property Ownership Certificate is completed, Lawyer shall submit the transfer application (with all necessary supporting documents) of the Land Use Right Certificate to Beijing Land & Resource Bureau.

1.4.4 After the Property Ownership Certificate and the Land Use Right Certificate are transferred to Buyer, and after Lawyer receives all the original certificates, Lawyer shall provide to the Bank with these certificates in accordance with the terms of the Tri-party Agreement. The bank, who will apply for the mortgage registration of the Property, shall release the loan (Remaining Payment) directly to Seller once the mortgage registration is completed.

1.4.5 In case that the Bank has not approved the drawdown of the loan or the loan paid to Seller is less than the Remaining Payment within two (2) months after Lawyer provides the Property Ownership Certificate and the Land Use Right Certificate to the Bank, Buyer agrees to make full payment of the Remaining Payment within five (5) working days after the above-mentioned two (2) months period expires.

Article V Taxes and fees

Except as otherwise provided therein, each Party shall be responsible for and shall pay all taxes and fees resulting from or payable in connection with the transactions contemplated in this Contract as are imposed upon such Party by PRC Law.

「章名」 14.fob/fas条件

14.1.本合同项下货物的装运舱位由买方或买方的运输代理人___________租订。

14.2.在fob条件下,卖方应负责将所订货物在本合同第8条所规定的装船期内按买方所通知的任何日期装上买方所指定的船只。

14.3.在fas条件下,卖方应负责将所订货物在本合同第8条所规定的装船期内按买方所通知的任何日期交到买方所指定船只的吊杆下。

14.4.货物装运日前10-15天,买方应以电报或电传通知卖方合同号、船只预计到港日期、装运数量及船运代理人的名称。以便卖方经与该船运代理人联系及安排货物的装运。卖方应将联系结果通过电报或电传及时报告买方。如买方因故需要变更船只或者船只比预先通知卖方的日期提前或推迟到达装运港口,买方或其船运代理人应及时通知卖方。卖方亦应与买方的运输代理或买方保持密切联系。

14.5.如买方所订船只到达装运港后,卖方不能在买方所通知的装船时间内将货物装上船只或将货物交到吊杆之下,卖方应负担买方的一切费用和损失,如空舱费、滞期费及由此而引起的及/或遭受的买方的一切损失。

14.6.如船只撤换或延期或退关等而未及时通知卖方停止交货,在装港发生的栈租及保险费损失的计算,应以代理通知之装船日期(如货物晚于代理通知之装船日期抵达装港,应以货物抵港日期)为准,在港口免费堆存期满后第十六天起由买方负担,人力不可抗拒的情况除外。上述费用均凭原始单据经买方核实后支付。但卖方仍应在装载货船到达装港后立即将货物装船,交负担费用及风险。

15.1.卖方在本合同第8条规定的时间之内应将货物装上由装运港到中国口岸的直达船。未经买方事先许可,不得转船。货物不得由悬挂中国港口当局所不能接受的国家旗帜的船装载。

15.2.卖方所租船只应适航和适货。卖方租船时应慎重和认真地选择承运人及船只。买方不接受非保赔协会成员的船只。

15.3.卖方所租载货船只应在正常合理时间内驶达目的港。不得无故绕行或迟延。

15.4.卖方所租载货船只船龄不得超过15年。对超过15年船龄的船只其超船龄额外保险费应由卖方负担。买方不接受船龄超过二十年的船只。

15.5.一次装运数量超过一千吨的货载或其它少于一千吨但买方指明的货载,卖方应在装船日前至少10天用电传或电报通知买方合同号、商品名称、数量、船名、船龄、船籍、船只主要规范、预计装货日、预计到达目的港时间、船公司名称、电传和电报挂号。

15.6.一次装运一千吨以上货载或其它少于一千吨但买方指明的货载,其船长应在该船抵达目的港前7天和24小时分别用电传或电报通知买方预计抵港时间、合同号、商品名称及数量。

15.7.如果货物由班轮装运,载货船只必须是______船级社最高船级或船级协会条款规定的相同级别的船级,船只状况应保持至提单有效期终了时止,以装船日为准船龄不得超过20年。超过20年船龄的船只,卖方应负担超船龄外保险费。买方绝不接受超过25年船龄的船只。

15.8.对于散件货,如果卖方未经买方事前同意而装入集装箱,卖方应负责向买方支付赔偿金,由双方在适当时间商定具体金额。

15.9.卖方应和载运货物的船只保持密切联系,并以最快的手段通知买方船只在途中发生的一切事故,如因卖方未及时通知买方而造成买方的一切损失卖方应负责赔偿。

14.1 the shipping space for the contracted goods shall be booked by the buyer or the buyer‘s shipping agent __________.

14.2 under fob terms, the seller shall undertake to load the contracted goods on board the vessel nominated by the buyer on any date notified by the buyer, within the time of shipment as stipulated in clause 8 of this contract.

14.3 under fas terms, the seller shall undertake to deliver the contracted goods under the tackle of the vessel nominated by the buyer on any date notified by the buyer, within the time of shipment as stipulated in clause 8 of this contract.

14.4 10-15 days prior to the date of shipment, the buyer shall inform the seller by cable or telex of the contract number, name of vessel, eta of vessel, quantity to be loaded and the name of shipping agent, so as to enable the seller to contact the shipping agent direct and arrange the shipment of the goods. the seller shall advise by cable or telex in time the buyer of the result thereof. should, for certain reasons, it become necessary for the buyer to replace the named vessel with another one, or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the seller, the buyer or its shipping agent shall advise the seller to this effect in due time. the seller shall also keep in close contact with the agent or the buyer.

14.5 should the seller fail to load the goods on board or to deliver the goods under the tackle of the vessel booked by the buyer. within the time as notified by the buyer, after its arrival at the port of shipment the seller shall be fully liable to the buyer and responsible for all losses and expenses such as dead freight, demurrage. consequential losses incurred upon and/or suffered by the buyer.

14.6 should the vessel be withdrawn or replaced or delayed eventually or the cargo be shut out etc., and the seller be not informed in good time to stop delivery of the cargo, the calculation of the loss in storage expenses and insurance premium thus sustained at the loading port shall be based on the loading date notified by the agent to the seller (or based on the date of the arrival of the cargo at the loading port in case the cargo should arrive there later than the notified loading date)。 the abovementioned loss to be calculated from the 16th day after expiry of the free storage time at the port should be borne by the buyer with the exception of force majeure. however, the seller shall still undertake to load the cargo immediately upon the carrying vessel‘s arrival at the loading port at its own risk and expenses. the payment of the afore-said expenses shall be effected against presentation of the original vouchers after the buyer’s verification.

15.1 the seller shall ship the goods within the time as stipulated in clause 8 of this contract by a direct vessel sailing from the port of loading to china port. transhipment on route is not allowed without the buyer‘s prior consent. the goods shall not be carried by vessels flying flags of countries not acceptable to the port authorities of china.

15.2 the carrying vessel chartered by the seller shall be seaworthy and cargoworthy. the seller shall be obliged to act prudently and conscientiously when selecting the vessel and the carrier when chartering such vessel. the buyer is justified in not accepting vessels chartered by the seller that are not members of the piclub.

15.3 the carrying vessel chartered by the seller shall sail and arrive at the port of destination within the normal and reasonable period of time. any unreasonable aviation or delay is not allowed.

15.4 the age of the carrying vessel chartered by the seller shall not exceed 15 years. in case her age exceeds 15 years, the extra average insurance premium thus incurred shall be borne by the seller. vessel over 20 years of age shall in no event be acceptable to the buyer.

15.5 for cargo lots over 1,000 m/t each, or any other lots less than 1,000 metric tons but identified by the buyer, the seller shall, at least 10 days prior to the date of shipment, inform the buyer by telex or cable of the following information: the contract number, the name of commodity, quantity, the name of the carrying vessel, the age, nationality, and particulars of the carrying vessel, the expected date of loading, the expected time of arrival at the port of destination, the name, telex and cable address of the carrier.

15.6 for cargo lots over 1,000 m/t each, or any other lots less than 1,000 metric tons but identified by the buyer, the master of the carrying vessel shall notify the buyer respectively 7 (seven) days and 24 (twenty-four) hours prior to the arrival of the vessel at the port of destination, by telex or cable about its eta (expected time of arrival), contract number, the name of commodity, and quantity.

15.7 if goods are to be shipped per liner vessel under liner bill of lading, the carrying vessel must be classified as the highest ____________ or equivalent class as per the institute classification clause and shall be so maintained throughout the duration of the relevant bill of lading. nevertheless, the maximum age of the vessel shall not exceed 20 years at the date of loading. the seller shall bear the average insurance premium for liner vessel older than 20 years. under no circum -stances shall the buyer accept vessel over 25 years of age.

15.8 for break bulk cargoes, if goods are shipped in containers by the seller without prior consent of the buyer, a compensation of a certain amount to be agreed upon by both parties shall be payable to the buyer by the seller.

15.9 the seller shall maintain close contact with the carrying vessel and shall notify the buyer by fastest means of communication about any and all accidents that may occur while the carrying vessel is on route. the seller shall assume full responsibility and shall compensate the buyer for all losses incurred for its failure to give timely advice or notification to the buyer.

18.a the seller shall present the following documents to the paying bank for negotiation of payment:

18.a.1 full set of clean on board, “freight prepaid” for c&f/cif terms or “freight to collect” for fob/fas terms, ocean bills of lading, made out to order and blank endorsed, notifying ___________at the port of destination.

18.a.2 five copies of signed invoice, indicating contract number, l/c number, name of commodity, full specifications, and shipping mark, signed and issued by the beneficiary of letter of credit.

18.a.5 one duplicate copy of the cable or telex advice of shipment as stipulated in clause 17 of the terms of delivery.

18.a.6 a letter attesting that extra copies of abovementioned documents have been dispatched according to the contract.

18.a.7 a letter attesting that the nationality of the carrying vessel has been approved by the buyer.

18.a.8 the relevant insurance policy covering, but not limited to at least 110% of the invoice value against all and war risks if the insurance is covered by the buyer.

18.b any original document(s) made by rephotographic system, automated or computerized system or carbon copies shall not be acceptable unless they are clearly marked as “original.” and certified with signatures in hand writing by authorised officers of the issuing company or corporation.

18.c through bill of lading, stale bill of lading, short form bill of lading, shall not be acceptable.

18.d third party appointed by the beneficiary as shipper shall not be acceptable unless such third party bill of lading is made out to the order of shipper and endorsed to the beneficiary and blank endorsed by the beneficiary.

18.e documents issued earlier than the opening date of letter of credit shall not be acceptable.

18.f in the case of c&f/cif shipments, charter party bill of lading shall not be acceptable unless beneficiary provides one copy each of the charter party, master‘s of mate’s receipt, shipping order and cargo or stowage plan and/or other documents called for in the letter of credit by the buyer.

18.g the seller shall dispatch, in care of the carrying vessel, two copies each of the duplicates of bill of lading. invoice and packing list to the buyer‘s receiving agent, _______________at the port of destination.

18.h immediately after the departure of the carrying vessel, the seller shall airmail one set of the duplicate documents to the buyer and three sets of the same to ______________________________ transportation corporation at the port of destination.

(15)装运条款:

甲、每次发货如毛重超过__公吨,卖方应于本合同第8条规定的装运期__天前,将合同编号、商品名称、数量、价值、件数、毛重、尺码以及货物在装货口岸各妥日期函/电告买方,以便买方订舱。如毛重不超过___公吨,则卖方应与装货口岸的买方装运代理人直接联系装运事宜。

乙、每次发货毛重超过两公吨时,其订舱事宜将由买方装运合理人________公司(电报持号:________)办理,买方与该公司密切联系有关装运事宜。卖方则应与在装货口岸的______公司装运代理人密切联系。

(16)装运通知:

货物全部装船后,买方应立即将合同编号、商品名称、数量、毛重、发标金额、船旬和开航日期电告买方。如单件货物的重量超过__公吨或阔度超过___毫米,或两旁高度超过___毫米,则卖方应将该件重量和尺码告知买方。如由于卖方未及时将装运通知电告买方,以致货物未及时保险而发生的一切损失应由卖方负担。如货物系属危险品,卖方将其性质及处理办法电告买方和到货口岸_________公司。

(17)质量保证:

卖方保证订货系用最上等的材料和头等工艺制成,全新,未曾用过,并完全符合本合同规定的质量、规格和性能。卖方并保证本合同订货在正确安装、正常使用的维修的情况下,自货物到达到货口岸之日起__个月内运转良好。

(18)检验和索赔:

甲、在交货以前,制造厂应就订货的质量、规格、性能、数量/重量做出准确和全面的检验,并出具货物和与本合同规定相符的证明书,该证书为议付/托收货款而应上交银行的单据的组成部分,但不得为货物的质量、规格、性能和数量/重量的最后依据。制造厂应将记载试验细节和结果的书面报告附在质量证明书内。

乙、货物到达到货口岸后,买方应申请中国商品检验局(以下简称商检局)就货物的质量、规格用数量/重量进行初步检验。如发现到货的规格或数量/重量与合同不符,除应由保险公司或船公司负责者外,买方于货物在到货口岸卸货后___天内凭商检局出具之检验证书有权拒收货物或向卖方索赔。

丙、在本合同第17条规定的保证期限内,如发现货物的质量及/或规格与本合同规定不符或发现货物无论任何原因引起的缺陷包括内在缺陷或使用不良的原料,买方应申请商检局检验,并有权根据商检证向卖方索赔。

丁、卖方收到买方索赔通知后,如果在__天内不答复,应视为卖方同意买方提出的一切索赔。

(19)索赔解决方法:

如货物不符合本合同规定应由卖方负责者。同时买方按照本合同第17条和第18条的规定在索赔期限或质量保证期限内提出索赔,卖方在取得买方同意后,应按下列方式理赔。

甲、同意买方退货,并将退货金额以成交原币偿还买方,并负担因退货而发生的一切直接损失和费用,包括利息,银行费用,运费,保险费,商检费,仓租,码头装卸费以及为保管退货而发生的一切其他必要费用。

乙、按照货物的疵劣程度,损坏的范围和买方所遭受的损失,将货物贬值。

丙、调换有瑕疵的货物,换货必须全新并符合本合同规定的规格、质量和性能。卖方并负担因此而发生的一切费用和买方遭受的一切直接损失。对换货的质量,卖方仍应按本合同第17款的决定,保证__个月。

(20)人力不可抗拒事故:

由于人力不可抗拒事故,而卖方交货迟延或不能交货时,责任不在卖方。但卖方应立即将事故通知买方,并于事故发生后__天内将事故发生地政府主管机关出具的事故证明书用空邮寄交买方为证,并取得买方认可,在上述情况下,卖方仍负有采取一切必要措施从速交货的责任。如果事故持续超过__个星期,买方有权撤销本合同。

(21)迟交和罚款:

如延迟交货除人力不可抗拒事故者外,卖方应付给买方每一星期按迟交货物总值的___%的迟交罚款,不足一星期的迟交日数作为一星期计算,此项罚款总额不超过全部迟交货物总值的__%,在议付货款时由银行代为扣除,或由买方在付款时进行扣除。

如迟延交货超过原定期限___个星期时,买方有权终止本合同。但卖方仍应向买方缴付以下规定之罚款,不得推诿或迟延。

(22)仲裁:

凡有关本合同或执行本合同而发生的一切争执,应通过友好协商解决。如不能解决,则就提交__________仲裁委员会按照该会的仲裁规则在______进行仲裁。该仲裁委员会做出裁决是最终的,买卖双方均应受其约束,任何一方不得向法院或其他机关申请变更。仲裁费用由败诉一方承担。
