7. 市场情况报告 reports on market conditions

乙方每3个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其他供应商的类似商品样品及其价格、销售情况和广告资料。

在本协议有效期内，乙方在上述经销地区所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。

9. 协议有效期 validity of agreement

The arbitral award shall be accepted as final and binding upon both parties. The arbitration fee shall be borne by the losing party.

6. 甲方给乙方的批发价是内定价格，乙方要作为商业机密进行保密。

7. 甲方可根据原材料物价等的变动，变更产品的批发价格。在乙方订货前先行告知。

Party A reserves the rights to adjust the product prices in accordance with price fluctuations of raw materials; but prior notice shall be given to Party B.

8. 乙方要充分掌握甲方的产品知识，如因销售过程中对产品知识认识不足导致与客户间的纠纷，甲方不承担任何连带责任。

Party B shall be well versed in product knowledge. Party A shall not be jointly liable for any sales dispute between customers and Party B arising out of this cause.

9. 甲方在产品出厂前对质量进行严格的质量合格检验，甲方负责发货，在运输过程中如出现产品损坏，甲方按相关规定向承运方追究责任。乙方不承担责任。

Party A shall perform stringent quality checks on all products before shipment. Party B shall not be responsible for any damages to products during transportation; Party A shall claim indemnities from the carrier according to regulations.

10. 乙方销售场地、帐号和法人代表变动时，必须事前通知甲方。

观演须知

Notice to Spectators

1.游客持票入场，请勿随意走动，大声喧哗，扰乱观演秩序。

1. Produce your ticket for entry. Please do not walk about or make an uproarious noise in order not to disturb the performers and other spectators.  

2.请保管好随身物品，照顾好老人儿童。保持场地卫生，请勿乱扔垃圾。

2. Please take good care of your personal effects, the aged and kids. Please do not litter about and keep the ground clean.

3.文明观演。请勿向动物投掷物品，表演时不要使用闪光灯或发出尖叫惊吓动物。演出精彩时可给予掌声，表演失误时应予鼓励，不可起哄、喝倒彩。

3. Cultivation and civility are encouraged. Please do not throw objects at the animals, use the flash lamp or shriek at them during the performance for fear of scaring them. The applause for animal shows is welcomed, but it is not advised to hoot at them for an performance error. 

4.演出结束后，请依次有序退场，以防发生意外。

4. Please withdraw in order after the performance to avoid any possible accident.

游乐设备乘坐须知

Notice for the Use of Amusement Facilities

1.患有心脏病、高血压的游客及怀孕、酗酒者请勿乘坐；身高或年龄未符合标准者请勿乘坐。

1. The amusement facilities are not recommended for pregnant women, drunkards, visitors with heart disease or hypertension, and under-stature or underage people.

2.在等候区等候时，请听从工作人员安排，按顺序排队，不得翻越栏杆，擅自进入隔离区。

2. Please follow the instructions of our staff and queue up while waiting. Do not climb over the railings or enter the restricted zone at will.  

3.游客应系好安全带，在游乐设备运行中，请勿伸出手、胳膊等身体部位。如遇设备出现故障，不得自己解除安全装置，请保持镇定，等待工作人员救援。

3. Please secure the life belt when using the facilities. Do not reach out your hand, arm or other parts of your body out of a working facility. In case of facility failure, do not try to release the safety device by yourself and wait calmly for rescue from our staff.   

4.乘坐旋转、翻滚类游乐设备时，请务必将眼镜、相机、手机等易掉落物品放入托管区。

4. When using any rotary or rolling amusement facility, you must put your glasses, camera, cellphone and other personal effects apt to drop to the custody of our staff.

5.游玩过程中，如出现身体不适，请及时大声提醒工作人员停机。

1. 甲方提供产品样品和产品批发价给乙方。样品的摆设和产品的销售场所由乙方提供，乙方按实际销量向甲方进货。产品的零售价乙方有自定权。

Party A agrees to supply Party B the product samples and wholesale price lists. Party B shall provide the sales venue and be responsible for the display of product samples. Party B shall purchase from Party A , the actual quantity sold, the retail prices shall be fixed by Party B.

5. 代销期限：从________年_______月______日至_______年______月_______日止。在合同期满 30 日内，甲乙任何一方未对合同结束通知时，本合同自动延长一年。若合同期满不继续合作，乙方不得把代理的权利转给他人，本行业的相关信息也不能向第三方泄露，甲方收回所有未售商品。(包括样品)

Within 30 days after the expiry date of this Contract, if neither Party A nor Party B receives any Contract termination notice, this Contract shall be automatically extended for one more year.

In the event of both Parties agree to terminate the Contract after the expiry date, the consignment rights of Party B shall not be transferable, and Party B shall not reveal to third party ,all the confidence information relating to this industry. Party A shall recall all unsold goods (samples inclusive)

6. 甲方给乙方的批发价是内定价格，乙方要作为商业机密进行保密。

The wholesale prices supplied by Party A to Party B are trade secrets; Party B shall not reveal it to anyone.

7. 甲方可根据原材料物价等的变动，变更产品的批发价格。在乙方订货前先行告知。

Party A reserves the rights to adjust the product prices in accordance with price fluctuations of raw materials; but prior notice shall be given to Party B.

8. 乙方要充分掌握甲方的产品知识，如因销售过程中对产品知识认识不足导致与客户间的纠纷，甲方不承担任何连带责任。

Party B shall be well versed in product knowledge. Party A shall not be jointly liable for any sales dispute between customers and Party B arising out of this cause.

9. 甲方在产品出厂前对质量进行严格的质量合格检验，甲方负责发货，在运输过程中如出现产品损坏，甲方按相关规定向承运方追究责任。乙方不承担责任。

Party A shall perform stringent quality checks on all products before shipment. Party B shall not be responsible for any damages to products during transportation; Party A shall claim indemnities from the carrier according to regulations.

10. 乙方销售场地、帐号和法人代表变动时，必须事前通知甲方。

Prior notice shall be given to Party A by Party B in the event of changes in sales venue, bank accounts or its legal representative.

11. 如果合同未规定的情况发生，或者合同条款解释有异议处，双方应有诚意地协商解决。如果本合同带来不可预知的纠纷，约定通过甲方所在地的仲裁机构进行解决。

In the event of unspecified incidence, or conflicting interpretations to this Contract occurs, both Parties shall resolve amicably. Any unforeseen dispute arising out of this Contract shall be resolved by the regional arbitration organization of Party A.

作为本合同的证据，甲、乙双方签名盖章生效。本合同一式两份，甲乙双方各保留一份。

This Contract shall be effective with both Parties’ signatures and seals attached hereunder.

2.6 Gross Calorific Value

(1) 若高位发热量(收到基，ADB)低于5450卡，每低于100大卡单价扣减0.6每元;若高位发热量(收到基，ADB)超过5450大卡，每增加100大卡，单价增加0.50美元，6000大卡/kg封顶。

In case of Gross Calorific Value (ADB) less than 5450 kcal, the unit price should be deducted USD$0.60 for every 100 kcal reduction. In case of Gross Calorific Value (ADB) more than 5450 kcal, the unit price should be increased USD$0.50 for every 100 kcal up to 6000 kcal.

(2) 当高位发热量(收到基，ADB)低于5400大卡，每低于100大卡单价扣减1.20美元/吨。

Shall and when to Gross Calorific Value (ADB) below 5400 kcal/kg, unit price shall be reduced by USD$1.20 per metric ton for every decrease of 100 kcal/kg.

3. 人力不可抗拒(Force Majeure)

由于一般公认的人力不可抗拒原因而不能交货或推迟装运，卖方不负责任。卖方必须在事故发生时立即电告买方并在事故发生后20天内航空邮寄给买方灾害发生地点之有关政府或商会所发给的证件证实灾害的存在。除因不可抗拒推迟交货或不能交货，如卖方不能按合同规定期限交货，则应赔偿买方直接由于迟期交货或不能按合同交货所遭受的一切合理损失及费用。人力不可抗拒事故继续存在60天以上时，买方有权撤销合同或合同中未交付部分。

The Seller shall not be help responsible if they fail, owing to Force Majeure cause of causes, to make delivery within the time stipulated in this Sales Contract or cannot delivery the goods. However, the Seller shall inform immediately the Buyer by fax or other writer form of the accident and airmail to Buyer within 20 days after the accident, a certificate of accident issued by the competent government authorities or the chamber of commerce which is located at the place where the accident occurs as evident thereof. With the exception of delayed delivery or non-delivery due to “Force majeure” causes, in case the Seller mail to make delivery within time as stipulated in the contract, the Seller should indemnify the Buyer for all justifiable and normal losses incurred to latter directly attributable to delayed delivery or failed to make delivery of the goods in accordance with the terms of this contract, if the “Force Majeure” cause lasts over 60 days, the Buyer have the right to cancel the contract or the un-delivery part of the contract.

4. 仲裁：

一起因执行合同所发生与本合同有关之争执，双方应友好协商解决。如双方协商不能解决时，应提交中国国际贸易促进委员会对外经济仲裁委员会，根据其仲裁规则进行仲裁。仲裁的裁决为终局裁决，对双方均有约束力。仲裁费育重非有关仲裁机构另有决定外均由败诉方负担。

Arbitration : All disputes arising in connection with this Sales Contract or the execution thereof shall be settled by way of amicable negotiation. In case no settlement can be reached between the two parties, the case at issue shall then be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trading in according with the Rules of Procedure of the said commission . The aard by such arbitration shall be deemed as final and binding upon both parties. The fees for Arbitration shall borne by the losing party unless otherwise awarded.

一、双方合作投放的产品：TTSG-3讲解器

二、双方确定的产品投放地点：____________________________

三、自签订协议后，乙方将所需设备及交与甲方向景 点游客租 用，讲解器所有权属乙方

四、自协议签订后，中英文讲解词由甲方编写，并发 给乙方，乙 方负责免费制作中英文讲解语音，在一年内并可提供四 次的免费语音修改服务，乙方根据甲方需要，也可只制作其 中一种语音。

五、合作模式及结算方式：双方运营期间，由甲方全 权负责宣传、推广、服务等相关工作，乙方不参与经营，只 提供设备。合同期内按租用设备数量每单台每日租金(_____元/ 台)合作天数计算。甲方最底需要租用乙方台设备，最底 合作期限为一年。租金每季度结算一次，由甲方于每季度最 后一天直接汇入乙方帐号。
